These Terms of Service (“Terms”) are a binding agreement between you and [LEGAL ENTITY NAME] (“Canvas Approvals”, “we”, “us”), operator of the Canvas Approvals service at canvasapprovals.com and its subdomains (the “Service”). By creating a workspace or using the Service you agree to these Terms. If you are agreeing on behalf of an organization, you represent that you are authorized to bind it.

1. The Service

Canvas Approvals is a multi-tenant SaaS for designing approval workflows, collecting requests through forms, and recording sign-off with an audit trail. Each customer organization is provisioned an isolated workspace on its own address (a subdomain of canvasapprovals.com).

2. Accounts and workspaces

  • The person who creates a workspace is its initial administrator and is responsible for the accounts, data, and configuration within it.
  • You must provide accurate information, keep your credentials secure, and are responsible for all activity under your account.
  • You must be at least [16/18] years old and legally able to enter a contract.
  • Workspace administrators may add members, restricted members, view-only users, and guests, and are responsible for the conduct and access rights they grant.

3. Plans, fees, and billing

  • The Service is offered on a freemium basis. The free plan is limited (for example: a single sub-space, a data cap, and no attachments); paid plans unlock additional capacity as described on our pricing page.
  • Paid fees are billed in advance on a recurring basis and are non-refundable except where required by law. [Payment processor: e.g. Stripe.]
  • We may change fees on prospective notice of at least [30] days. Continued use after a change constitutes acceptance.
  • Taxes are your responsibility unless we are required to collect them.

4. Your content and data

  • You retain all rights to the data, files, and content you submit to the Service (“Customer Data”).
  • You grant us a limited licence to host, process, and transmit Customer Data solely to provide and support the Service.
  • You are responsible for the lawfulness of your Customer Data and for having the rights and consents needed to submit it, including any personal data of third parties.
  • Our handling of personal data is described in the Privacy Policy; retention and deletion are described in the Data Retention Policy.

5. Acceptable use

Your use of the Service is subject to our Acceptable Use Policy, which prohibits (among other things) illegal content, infringement of others’ rights, malware, attempts to breach security or tenant isolation, and abuse of shared resources. Serious or repeated violations may result in suspension or termination.

6. Intellectual property

The Service, including its software, design, and trademarks, is owned by Canvas Approvals and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; no other rights are granted. You may not copy, reverse-engineer, resell, or create derivative works of the Service except as permitted by law.

7. Third-party services

The Service relies on third-party infrastructure and processors (for example, cloud hosting, database, and email providers). Your use is also subject to their terms where applicable. We are not responsible for third-party services we do not control.

8. Availability, warranties, and disclaimers

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. Except as expressly stated, the Service is provided “as is” and “as available” without warranties of any kind, to the fullest extent permitted by law. [If you offer an SLA, reference it here.]

9. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, and our total liability arising out of or relating to the Service is limited to the amounts you paid us in the [12] months before the event giving rise to the claim. 10. Suspension and termination

  • You may stop using the Service and delete your workspace at any time.
  • We may suspend or terminate access for material breach, non-payment, or risk to the Service or other customers, with notice where practicable.
  • On termination, your right to use the Service ends and Customer Data is handled as described in the Data Retention Policy. You may export your data before termination.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email or in-app at least [30] days before they take effect. Continued use after the effective date constitutes acceptance.

12. Governing law and disputes
